Netcron Technologies may provide clients with one or more services, including but not limited to: Website design and development and affiliate products / services, Internet marketing, mobile application development, content development and / or maintenance and support services. Unless otherwise noted, any new features that enhance or enhance the service will be considered part of the Services. Netcron Technologies reserves the right to modify, suspend or discontinue the Service (or any part thereof) at any time, without notice, non-cooperation, non-payment or unwanted delay from the client. The Client expressly agrees that the Client, or any relevant third party, shall not be liable for any loss, damage or consequences arising out of such modification, suspension or termination of the Service to Netcron Technologies or its suppliers.
No client is required to sign an acceptance of these terms and conditions in order to apply. If a client accepts a quote, the client will be deemed to be satisfied with the terms and conditions applied to them and they have fully accepted these terms and conditions. Please read these terms and conditions carefully. Any purchase / payment of an advance fee or use of our Services indicate that you have read and accepted our Terms and Conditions.
Netcron Technologies is not responsible for damages caused by any software created for the client. While we all take care to ensure that the products are accurate and error free, the ultimate responsibility rests with the client to ensure that all the products and software are working properly before use. When sites and applications are developed on servers not provided by Netcron Technologies, the client will be responsible for providing and / or finding any information, support, additional software and / or support related to the server required for development. That's right. To develop large applications, the client will be responsible for providing the appropriate testing environment, similar to the client's end product environment. Any application or programming related to the Website, developed by Netcron Technologies, is expected to be fully tested by the client before it is made available for general use. Netcron Technologies will try, but is not bound to fix, any bugs or other issues found on the website we developed after the site went live, which meets the performance standards of the site described briefly.
The charges for the services provided by Netcron Technologies are defined in the project quotations received by the client via e-mail. Quotations are valid for a period of 30 days unless optional schedules are agreed with the client in advance. Netcron Technologies reserves the right to modify or reject quotations to provide quotations after the valid time scale expires. Unless otherwise agreed with the client, all website design services require at least fifty (50) percent advance payment of the total project quote before commencement of work. Thirty (30) per cent second charge is required after the development phase, the remaining twenty (20) per cent after completion of work, before uploading to the server or before releasing the content, twenty (20) per cent of the total project quote. Fees for web / app development do not include source Photoshop or publishing Flash files; if the client needs these items, a separate quotation can be created. Payments for services are by check or bank transfer. Bank details will be made available on the invoice.
Database Execution - Entering data for database applications is the client's responsibility. Data entry by Netcron Technologies is billable, unless otherwise provided in the Customer Agreement. Training - For a website with an administrative control panel or content management system, two (2) one hour training sessions will be provided. Technical Support - We offer our customers local and long-distance phone support. We usually do not bill for technical support depending on the source of the problem, its severity, and the time we spend. If Netcron Technologies is not the source of the problem, technical support may be billable.
As customer service is an integral part of our business strategy, all of our projects include one-time free training sessions to enable our customers to make better use of their new web technology. Additional training hours may be purchased at our standard hourly rate or may be applied to your existing maintenance agreement.
You will be notified when the work is completed and have the opportunity to review it. You must notify us in writing of any unsatisfactory issues within 7 days of such notice. Any work not reported to us in writing as unsatisfactory during the 7-day review period shall be deemed to have been approved. Once approved, or approved, then the work cannot be rejected and the contract will be deemed completed and the pending balance of the project cost will be paid.
If you deny any of our work during the 7-day review period, or do not approve of any subsequent work done by us to resolve any of the issues reported as unsatisfactory, and we are acting reasonably, you are deemed unreasonable in rejecting the work. We can also choose to accept this agreement as it expires and take measures to recover payment for the work completed.
In the majority of projects, Netcron Technologies will install and post or provide the client's website publicly by the date specified in the project proposal. If no such date is specified, no delay is requested by the client and without the consent of Netcron Technologies; the timescale will be within two weeks from the date of receipt of the initial payment from the client. Alternative schedules may be agreed upon during the initial project discussion. In return, the client agrees to hire a person as a 'first-point-of-call' to help Netcron Technologies complete the project satisfactorily and conveniently. During the project, Netcron Technologies is required to provide a copy and image to the client. If the content is not provided by email within two (2) weeks of the official request, Netcron Technologies reserves the right to advise the customer of a revision of the final payment fee based on a new or revised pricing schedule submitted from time to time. . If the content is not provided within three (3) weeks from the original email request, the client is deemed to be the defaulter of the project, the project will be closed and the client will send the final invoice for immediate payment. Netcron Technologies will, at its discretion, agree to resume the project once the agreement is reached on the new quote document and the original fee is paid.
The final payment is due regardless of whether all content for the pages has been sent by the client. This provision is to encourage the client to submit the material immediately so that their project can run directly. It also ensures that Netcron Technologies is paid for performing its duties under the proposal, despite the late text from the client. After payment, Netcron Technologies will still post pre-approved outstanding content for 2 months at no charge. If an "Under Construction" page is posted due to missing content, Netcron Technologies will only post a copy of any pre-approved text / images, up to 2 months from the date of publication, on existing pages. After two months, the content posted on the site will be billed at our current regular hourly rate. If the client requests design and navigation changes specifically approved, these changes will be billable at our current regular hourly rate. The project can be canceled within 3 days after signing the project agreement. If there is a refund, the client will receive a refund within 10 days of the claim. Invoices will be provided by Netcron Technologies upon completion of work for web development and design and any related services. Receipts are usually sent by email; However, the client may choose to receive a hard copy invoice. Invoices are due within 15 (15) days of receipt, after which a reminder will be sent to the client. If the invoice is not completed after 30 (30) days, the Netcron Technologies account will be considered as default.
Project payments are paid to us in increments courtesy of the client. Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all payments are retained by Netcron Technologies and, if applicable, will be paid by the client for all completed work beyond what was already paid for. If by default the client has any information or files on the Netcron Technologies webspace, Netcron Technologies, at its discretion, may remove all such content from its webspace. Netcron Technologies is not responsible for any data loss caused by the removal of the Service. Removal of such content does not relieve the client of the obligation to pay any outstanding fees assessed on the client's account. Checks returned for insufficient funds will be charged back and the customer's account will be considered default immediately upon receipt of full payment. Clients with a default account agree to pay Netcron Technologies reasonable costs, including legal fees and costs for collection through a third-party agency, while enforcing these terms and conditions through Netcron Technologies. Thirty (30) days after the date of invoice will be assessed for service charges in excess of two percent (2%) of the total amount due on unpaid accounts.
The client should make a written request for termination of the web development project and such notification will be effective upon receipt. E-mail or telephone requests for termination of service will not be honored until written confirmation. The invoice for the completed design work will be sent to the customer within fifteen (15) days from the date of first notice of cancellation of full payment.

Client retains the copyright of data, files and graphic logos provided by the client and give Netcron Technologies the right to publish and use such content. The client must obtain permission and permission to use any information or file that is copyrighted by a third party. Client is further responsible for granting permission and rights for the use of Netcron Technologies and agrees to indemnify and keep Netcron Technologies from damaging any and all claims arising out of the client's negligence or inability to obtain proper copyright permissions. The agreement for web site design and / or placement will be considered by the client to Netcron Technologies as a guarantee that all such permissions and authorizations have been obtained. Permissions and proof of authority may be requested.
Unless otherwise specified in the project proposal / quote, this agreement assumes that all text will be provided electronically by the client (text files or email or MS Word documents delivered via email) if Netcron Technologies is inserting web page content. In the case of creating a Content Management System (CMS) site, Netcron Technologies will include some of the content on the page for free, and the customer must include the rest, without negotiating the data entry fee as mentioned in the project proposal. . All graphics must be provided electronically in .gif, .jpg, .png or .tiff formats. Additional (for proposal) costs may be incurred for remedial work, conversion of media or for external facility charges. The scope of work will be defined by the project proposal. The proposal will clearly outline what will be distributed. If any items are missing, Netcron Technologies must be notified prior to the approval of these terms to enable the supply of a new proposal, including missing items. The amount quoted in the project proposal will not include any item not specified at the time of proposal acceptance or missing from the proposal. Changes in the client's business during the project timeline that require a change in the work already created will be charged at the time spent at our current hourly rate. Unless otherwise specified in the project quotation, this agreement assumes that any text will be provided electronically by the client (ASCII text files distributed via e-mail, CD-ROM, DVD or FTP) and all photographs and other graphics .gif, .jpeg, Suitable for scanning in .png or .tiff format or physically provided in high quality prints electronically. Specific requirements will be discussed and agreed upon with the customer before starting the project. Although every reasonable effort is made by Netcron Technologies to return to the client any images or printed material provided for the creation of the client's project, such a return cannot be guaranteed.
Netcron Technologies reserves the right to include a separate link from the client's website at www.Netcron Technologies.com stating "Designed and Developed by Netcron Technologies". The design will remain on the credit site unless the site is edited by another party and the design of the site has not changed more than 90% of its original appearance as provided and designed by NetCron Technologies. The removal must be approved by Netcron Technologies and must be notified if changes are made so that the site can be removed from the portfolio. In cases where the graphic design of the site may have been provided by a third party, the designer will be credited and the Netcron Technologies credit will show "Site Development by Netcron Technologies".
The client retains the IP of the site. Design Copyright Netcron Technologies retains the copyright of any design or coding created by Netcron Technologies, without signing the client's logo or branding imagery or elements created directly from aspects of their corporate identity. The client may use unlimited design elements for the site and for the site and any other graphical online internet-display purposes only. The styles and designs created in the creation of the website design cannot be used in other content for the client's advertisement without the permission of Netcron Technologies. Additional design charges will be payable for multiple uses of the design features. Client acknowledges that they do not have exclusive rights to any of the reincarnation codes used for website development. Clients have no ownership of the code used in the Site, they may not copy, modify, lease or sell the Code without express permission. The sale of the Website by the owner not only transfers the use of the Site but the copyright and ownership of the code used by the Site remains with Netcron Technologies and / or partners / contractors. While Netcron Technologies no longer considers the site to be representative of the design style and quality of Netcron Technologies, the client agrees to remove any reference (including links) to Netcron Technologies.
If the client's website is to be installed on a third-party server, Netcron Technologies must grant temporary read / write access to the client's storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources may also need to be configured on the server.
Netcron Technologies cannot accept responsibility for any changes made by the client or third party once installed on the client's pages. Such changes may include, modify, or delete, but are not limited to. One-off web development fees may be required before Netcron Technologies can resolve any issues that may arise.
Netcron Technologies requires the use of third party services - for example, credit card processing - to meet the client's project requirements and ensure that these services are integrated into the project and function properly upon completion. Netcron Technologies cannot be held responsible for subsequent changes or issues with these third party services that may cause problems on the client's website and may require a web development fee before any issues may arise.
We reserve the right to subcontract any of the services we have agreed to do for you as we see fit.
You agree to reimburse us for any requested costs that are not part of our proposal, including but not limited to, including templates, third party software, stock photos, fonts, domain name registration, web hosting or comparable costs.
You are also responsible for maintaining your own backups with respect to your website and we will not be responsible for restoring any client data or client website unless such data is damaged due to our negligent act or mistake.
We will provide you with account credentials for domain name registration and / or web hosting purchased on your behalf when you reimburse us for any costs incurred. Netcron Technologies can purchase domain names on behalf of the client. Payment and renewal of those domain names is the client's responsibility. Netcron Technologies is not responsible for loss or cancellation of the domain due to non- or late payment. The customer should keep a record of the due dates for the payment to ensure that the payment is received on time.
These Terms and Conditions change all previous representations, understandings or agreements. Below is the agreement and acceptance of the terms and conditions signed by the client or payment of advance fee. Online payment is an acceptance of our terms and conditions.
This Agreement shall be governed by the laws of India governing Pune, Maharashtra, India.
Netcron Technologies hereby excludes itself, its employees and / or agents and has no obligation to: • Damage or loss due to any impropriety • Damage or loss due to omission • Damage or loss due to delay or error, be it the result of negligence in the creation of the website or other reasons. Loss or damage to the client's artwork / photos provided for the site. It doesn't matter if it's due to negligence or otherwise. In the event of any claim or breach of this Agreement, due to negligence or non-compliance, Netcron Technologies' sole liability shall be limited to the fees paid for the services under this Agreement which have been infringed.
In the event that any one or more of the provisions of this Agreement are invalid, unlawful or unenforceable, the remaining provisions of this Agreement shall be void and the Agreement shall not be terminated solely for this reason. Such illegal, unlawful or unenforceable provision will be replaced by mutually acceptable valid, legal and enforceable provision, which is very close to the intent of the parties under illegal.
